GENERAL TERMS AND CONDITIONS OF SALE (GTC)

These general terms and conditions of sale (“GTC”) govern the contractual relationship between any natural person, whether a trader or not (“the Client”), wishing to make a purchase on the website https://www.palerma-shop.com.
The Seller reserves the right to modify these GTC at any time by publishing a new version on its website. The applicable GTC are those in force on the date of payment of the order. By validating their order, the Client acknowledges having read and unreservedly accepts these GTC.


GENERAL TERMS AND CONDITIONS FOR MIXED PRODUCT SALES

PRELIMINARY ARTICLE – DEFINITIONS

  • “Consumer Client”: any natural person acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, liberal, or agricultural activity.

  • “Professional Client”: any natural or legal person acting for purposes that fall within the scope of their commercial, industrial, artisanal, or liberal activity, and any person acting on behalf of or for a professional.

  • “Data”: any information generated by the Client through the use of one or more applications or processed by them.

  • “Personal Data”: any information relating to an identified or identifiable natural person, as defined by the General Data Protection Regulation (GDPR).

  • “General Data Protection Regulation (GDPR)”: EU Regulation 2016/679 of the European Parliament and Council of 27 April 2016 relating to the protection of natural persons regarding the processing of personal data and the free movement of such data.

  • “Website”: the website https://www.palerma-shop.com, intended for the sale of products offered by PALERMA SAS.


ARTICLE 1 – SCOPE

PALERMA SAS is a simplified joint-stock company registered with the RCS of PARIS under number 991204090, with its head office at 40 RUE GUERSANT 75017 PARIS (hereinafter the “Company” or “Seller”).

Its main activity is the purchase and sale of cosmetic products (hereinafter referred to as the “Products”).

These GTC apply, without restriction or reservation, to all sales of Products concluded by the Company to consumers, non-professional buyers, and professional buyers (hereinafter referred to as “the Client” or “Clients”) wishing to purchase Products offered for sale by the Seller on the website https://www.palerma-shop.com.

They specify, in particular, the conditions for ordering, payment, delivery, and management of any returns of Products ordered by Clients.

These GTC may be supplemented by special conditions stated on the website prior to any transaction with the Client.

The Client acknowledges having received from the Company all useful and necessary information for identifying and assessing the quality of the Products and gives free and informed consent. The conditions for accessing Products are governed by these general terms.

The Client acknowledges having read the GTC prior to ordering and declares full acceptance.

The Company reserves the right to update the GTC and undertakes to inform the Client by any means.

Any order placed by the Client after the Company has notified the Client of any modification to the GTC implies unconditional acceptance by the Client of the updated GTC. The latest version of the GTC can be freely consulted by the Client at any time on the website https://www.palerma-shop.com.


ARTICLE 2 – PRODUCTS

The main characteristics of the Products offered for sale, including specifications and illustrations, are presented in the Company catalog accessible on the Company’s website.

The Client is required to review this information before placing an order.

The choice and purchase of a Product is the sole responsibility of the Client.

Photographs and graphics displayed on the website are non-contractual and do not engage the Company’s liability.

The Client is required to refer to each Product’s description to understand its characteristics, essential features, and delivery times.

Contractual information is presented in French and is confirmed no later than at the time the Client validates the order.

Products offered on the website are exclusively for sale in Metropolitan France.


ARTICLE 3 – ORDERS

3.1 Order Placement
Orders are placed online via the Company’s website.

The Client wishing to purchase one or more Product(s) listed on the Website must select each Product and add it to the shopping cart. They then confirm the cart contents and place the order.

The Client is then redirected to a page summarizing the selected Products and their prices.

The Client can review their order, total price, and correct errors before confirming. They are responsible for verifying order accuracy and correcting any mistakes.

Order registration occurs when the Client accepts these GTC by checking the box provided and validates the order. This validation implies acceptance of the entire GTC.

The sale is only final after the Seller sends the order acceptance confirmation to the Client by email, which must be sent without delay after full payment.

Any order placed, validated by the Client, and confirmed by the Seller according to these terms constitutes a distance contract between the Client and the Seller.

Unless proven otherwise, data recorded in the Seller’s IT system constitutes proof of all transactions with the Client.

The Seller reserves the right to cancel or refuse any order from a Client with an unresolved dispute regarding a prior order.

3.2 Order Modification
Once confirmed and accepted by the Seller, an order can be modified within 24 hours of confirmation, except in cases of withdrawal rights or force majeure.

3.3 Order Cancellation
Once confirmed and accepted by the Seller, an order can be canceled within 24 hours of confirmation, except in cases of withdrawal rights or force majeure.


ARTICLE 4 – PRICING

Products are offered at the price in effect on the Company’s website on the day of the order, in Euros, VAT included. Prices are firm and not subject to revision during their validity period.

Shipping costs are additional and correspond to the Seller’s carrier rates (e.g., Chronopost) at the time of order.

An invoice is automatically issued and sent to the Client by email after full payment.


ARTICLE 5 – PAYMENT TERMS

Payment is due in full at the time of order placement via secure online payment by credit card only.

The sale is only final after confirmation of order acceptance and full payment receipt by the Company.

Credit card payments are irrevocable, except in cases of fraud. In such cases, the Client may request cancellation and reimbursement. Payments are considered final only upon actual receipt.

The Client must provide all necessary documents, codes, or numbers to identify the payment.


ARTICLE 6 – PAYMENT SECURITY

Payments on the website are made via a secure platform to ensure safe transactions and prevent fraud.


ARTICLE 7 – DELIVERY TERMS

Products are delivered in Metropolitan France to the address provided by the Client.

The Client must ensure the accuracy of delivery information. Return shipping costs due to incorrect information are the Client’s responsibility.

Shipping times are indicated on the website. Delivery delays may vary depending on the carrier, holidays, and weekends.

The Client must track their package to avoid returns. Reshipping fees apply if the Client requests a return.

The Seller commits to making best efforts to deliver Products within the indicated timeframes. These times are indicative only.

If Products are not delivered within 3 weeks of the indicative date (except in cases of force majeure or Client fault), the sale may be canceled at the Client’s written request, and amounts paid will be refunded within 14 days, excluding compensation.

In case of non-conformity, the Seller will remedy or refund the Product. The Seller bears transport risks and will reimburse the Client for damages during transport.

Deliveries are made by carriers chosen by the Company (e.g., Chronopost) to the address provided by the Client. The Client must check Product condition upon receipt.


ARTICLE 8 – TRANSFER OF OWNERSHIP AND RISK

Products remain the Seller’s property until handed over to the carrier. Risk transfers to the Client upon physical receipt.


ARTICLE 9 – WITHDRAWAL RIGHT

Consumers may withdraw from their order within 14 days of receipt, in accordance with French Consumer Code L221-18.

Products must be returned in original condition and packaging within 5 days of notification. Damaged, dirty, or incomplete Products are not accepted.

Refunds of Product price and delivery costs are made within 7 days of notification. Return shipping costs are borne by the Client.


ARTICLE 10 – LIABILITY AND WARRANTY

Products comply with French law and include:

  • Legal conformity warranty (Articles L217-4 et seq.)

  • Hidden defects warranty (Articles 1641 et seq.)

The Seller is not liable for minor differences between product images and actual Products, stock shortages, misuse, normal wear, accidents, or force majeure.

Refunds, replacements, or repairs for defective Products are made within 10 days. Reimbursement is by bank transfer.


ARTICLE 11 – FORCE MAJEURE

Force majeure suspends contractual obligations. Parties must notify each other via registered letter. Examples: natural disasters, military/political events, epidemics, or pandemic-related lockdowns over 60 days.


ARTICLE 12 – CONTRACT TERMINATION FOR FORCE MAJEURE

Termination for force majeure can occur 30 days after formal notification via registered letter if obligations cannot be performed.


ARTICLE 13 – INTELLECTUAL PROPERTY

The website content is the property of the Seller and partners. Copying is allowed only for personal, non-commercial use without modification. Reproduction is prohibited.


ARTICLE 14 – PERSONAL DATA PROTECTION

PALERMA SAS processes personal data for legitimate interest (marketing, events, customer management) and legal obligations (invoicing, accounting).

Data is retained for contractual duration + 3 years for marketing, 10 years for accounting. Clients and prospects may oppose processing or marketing.

ARTICLE 15 – APPLICABLE LAW AND LANGUAGE

These GTC are governed by French law. The French version prevails in case of translation.


ARTICLE 16 – DISPUTES

Parties agree to attempt amicable resolution within 3 months before court. Consumers may use mediation (French Consumer Mediation Commission). All disputes are subject to French courts.


ARTICLE 17 – PRE-CONTRACTUAL INFORMATION – CLIENT ACCEPTANCE

The Client acknowledges having received all information required under Article L221-5 of the French Consumer Code, including product characteristics, price, delivery time, Seller identity, legal guarantees, digital content interoperability, withdrawal rights, and accepted payment methods.

By ordering, the Client expressly accepts these GTC and waives any contradictory terms, including their own purchase conditions.
